1. Acceptance of Terms

 

These Terms of Service (the “Terms“) govern your access to and use of the Aziz Art LLC website, platform, and related services (collectively, the “Service“). The Service is owned and operated by Aziz Art LLC (“Aziz Art,” “we,” “us,” or “our“).

By accessing or using the Service, you confirm that you are over the age of 18 (or the legal age of majority in your jurisdiction) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (found at Privacy Policy – Aziz Art). If you do not agree to these Terms, you may not use the Service.

2. The Aziz Art Marketplace Role

 

Aziz Art operates as a marketplace platform to connect independent artists/sellers (“Sellers“) with buyers (“Buyers“) seeking to purchase art.

  • Aziz Art is Not the Seller of Record: We are an intermediary. The legal contract for the sale of any artwork is directly between the Seller and the Buyer. Aziz Art is not a party to this sale and assumes no obligations, duties, or liabilities under that contract, except as expressly set forth in these Terms.

  • Payment Processing: We use a third-party payment processor to collect payments from the Buyer on behalf of the Seller. The Buyer’s obligation to pay the Seller is satisfied when they successfully submit payment to Aziz Art.

3. Seller Terms and Responsibilities

 

By registering as a Seller on Aziz Art, you agree to the following:

  • Artwork Authenticity & Warranty: You represent and warrant that you are the creator of all artwork you list, or that you have the full legal right to sell and license the work. All artwork must be original, one-of-a-kind, or a verifiable limited edition. You warrant that your work does not infringe on any third party’s copyright, trademark, or moral rights.

  • Product Accuracy: You are solely responsible for the accuracy of all listings, including descriptions, dimensions, medium, price, and photographs of the artwork.

  • Pricing, Fees, and Payment:

    • You will set the final price for your artwork.

    • Aziz Art will deduct a specified commission rate (e.g., 20%) from the final sale price (excluding shipping and taxes) before remitting the net proceeds to you.

    • You are solely responsible for the calculation, collection, and remittance of all taxes applicable to the sale of your art (e.g., income tax).

  • Fulfillment and Shipping: You are responsible for securely packaging the sold artwork, arranging shipment, and ensuring it reaches the Buyer in the condition described. You must ship the artwork within 10 business days of receiving a sale notification.

  • Returns and Refunds: You agree to abide by the Aziz Art Returns and Refund Policy (found at Refund and Returns Policy – Aziz Art). This typically includes honoring a standard return period (e.g., 14 days) if the Buyer is dissatisfied or if the artwork arrives damaged or is not as described.

  • Customs, Import, and Cross-Border Sales:

    • Sellers are solely responsible for customs declarations, export documentation, and compliance with international trade laws. 

    • Aziz Art LLC is not the importer of record for any transaction. 

    • Sellers must accurately declare the value, nature, and origin of goods shipped internationally. 

    • Sellers are responsible for any penalties, fines, or delays resulting from incorrect or incomplete customs documentation.

4. Buyer Terms and Responsibilities

 

By purchasing artwork on Aziz Art, you agree to the following:

  • Payment: You agree to pay the total purchase price for the artwork, including the listed price, applicable shipping charges, and any required taxes.

  • Intellectual Property (Crucial Clause): When you purchase an artwork, you are purchasing the physical object only. You DO NOT acquire the copyright or any other intellectual property rights in the work. You may not reproduce, copy, distribute, or create derivative works from the artwork without the express written permission of the Seller (the artist).

  • Shipping and Risk: The risk of loss or damage for the artwork transfers to you upon the Seller’s delivery of the item to the carrier. Any claims for lost or damaged goods should be directed to the carrier, though Aziz Art may assist in facilitating the insurance claim process.

  • Import Duties & Tax Responsibility: All customs duties, import taxes, VAT, brokerage fees, and clearance charges assessed by U.S. Customs and Border Protection, European Union customs authorities, or any other applicable government agency are the sole responsibility of the Buyer. Aziz Art LLC does not collect or remit import duties, VAT, or customs taxes and is not responsible for any delays, additional costs, or actions taken by customs authorities.

  • Customs Interference: Aziz Art LLC is not responsible for any customs inspections, delays, holds, seizures, or destruction of goods by customs authorities in any country. No refund will be issued based on customs actions outside of Aziz Art LLC’s control.

5. Intellectual Property and Content

 

  • Aziz Art Content: All content on the Service (excluding User Content, as defined below), such as text, graphics, logos, and software, is the property of Aziz Art LLC and is protected by copyright and trademark laws.

  • User Content: You retain all ownership rights to the creative content (including artwork images, profile text, etc.) you submit to the Service (“User Content“).

    • License to Aziz Art: By submitting User Content, you grant Aziz Art a worldwide, non-exclusive, royalty-free, perpetual, and transferable license to use, reproduce, display, and distribute your User Content solely for the purpose of operating, promoting, and improving the Service (e.g., displaying your art on the website and in marketing emails).

  • DMCA/Copyright Infringement: If you believe any content on the Service infringes your copyright, please notify our designated Copyright Agent immediately at AzizArtsLLC@gmail.com.

6. Prohibited Conduct and Account Termination

 

You agree not to engage in any prohibited conduct, including, but not limited to:

  • Violating any applicable law, statute, ordinance, or regulation.

  • Selling counterfeit, non-original, or pirated goods.

  • Infringing upon the intellectual property rights of Aziz Art or any third party.

  • Harassing, abusing, or harming another person or group.

  • Using the Service for any fraudulent, abusive, or illegal purpose.

Aziz Art reserves the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any violation of these Terms.

7. Disclaimers and Limitation of Liability

Please read this section carefully, as it limits the liability of Aziz Art LLC.

  • DISCLAIMER OF WARRANTIES: THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AZIZ ART DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

  • LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, AZIZ ART LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERV1ICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS O2R SELLERS; OR (C) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR ACCOUNT.

8. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New York, without regard to its conflict of law principles.

  • Agreement to Arbitrate: You agree that any dispute or claim relating in any way to your use of the Service or to any products sold or distributed through the Service will be resolved by binding arbitration, rather than in court.

  • Waiver of Class Action: You agree that any arbitration under these Terms will take place on an individual basis only. Class arbitrations and class actions are not permitted.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service with an updated “Last Updated” date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
